You must be 18 years old or older to participate.

AdOrigin Corp. operates the Adorigin.com Website through which independent owner-operators of Internet web sites (hereafter "Hosts") are granted the non-exclusive right to utilize AdOrigin Corp.’s ad serving technology to display ads on their site based on these Terms and Conditions.

AdOrigin Corp. shall collect fees from its Advertisers and pays Hosts commissions for each independent bona-fide visitor that view and/or visits an Advertiser’s site through the links provided by the AdOrigin tags.

Termination of this agreement is at will, and may be effected by either party at any time. AdOrigin.com reserves the right to refuse any applicants that it deems to be unfit to participate in the Program.

AdOrigin Corp. is not liable to any claims, representation or warranties made by the Host, including but not limited to the contents of their sites and the alteration of the appearance and syntax of the AdOrigin tags. Under no circumstances shall AdOrigin.com be liable to Hosts for any loss, injury, or damage, of whatever kind of nature, resulting from or arising out of the Adorigin.com program. AdOrigin.com makes no warranties, either expressed or implied, concerning the performance and functionality of the AdOrigin.com Program and hereby expressly disclaims all implied warranties, including warranties of merchantability or fitness for a particular use. Under no circumstances shall AdOrigin.com be liable to Hosts for any loss, injury, or damage, of whatever kind of nature, resulting from or arising out of any mistakes, loopholes in the anti-fraud system, errors, omissions, delays, or interruptions in the receipt, transmission, or storage of any messages or information arising out of or in connection with the AdOrigin.com Program.

AdOrigin.com shall track all commissions earned and may at its absolute discretion decide not to pay any commission to any Host should AdOrigin.com believe that any hosts’ traffic has been fraudulent. Commission is based on one unique impression or visitor per host delivered to AdOrigin’s tags within 24 hours.

AdOrigin Corp. shall process payouts on a NET 45 day basis, on collected funds in U.S. dollars for all commissions earned for the prior period provided that payout equals or exceeds $50.00 for U.S./Canadian accounts and $100.00 for international accounts. If account balance does not reach these minimum amounts, payment will be carried $ until the next payout cycle. If these minimum amounts have not been reached within a year, accounts will be removed from the AdOrigin.com accounting database. Checks for U.S. accounts will be mailed via first-class postage. Checks not cashed or deposited after 90 days of the date of issuance will be canceled. All accounts that which require international wire-transfer (request sent via e-mail to host@adorigin.com) will be charged a $40.00 transaction fee. Host requesting Paypal or netteller payment will be charged a $5 fee. Host are responsible for removing the AdOrigin tags from their site if AdOrigin has cancelled the account with Host. Host can choose to stop directing visitors to AdOrigin’s tags at any time. If a host chooses to stop sending traffic to AdOrigin’s tags for a period of 60 days or more, your account will automatically be closed and any unpaid commissions will be forfeited.

AdOrigin.com is not responsible for notifying Hosts of any changes, which may affect their commissions. AdOrigin.com compensates host through this Agreement as an entity providing a service, with no expressed or implied employment relationship. 

For all purposes of notification, delivery via e-mail is considered a valid form of notification.

Host agrees to be responsible for reading and to be bound by the new agreements, regardless of whether or not Host has actually accessed such information.

Code Integrity:
Hosts may not alter AdOrigin code except for placement purposes.

Approved Websites:
Hosts agree to place banner code only on websites that have been approved by AdOrigin. Hosts agree to maintain the web site content in a similar manner as has been previously approved by AdOrigin as of the approval date. Hosts also agree that the banners must be visible on the site WITHOUT the user needing to scroll down the page as when viewed at a resolution of 640 X 480. Hosts also agree that they will not put more than one banner of the same size on the same page.

Hosts agree to accept SUPERSTITIALS in a Unicast format. Hosts agree to allow AdOrigin to provide advertisers with non-revenue generating bonus or make-good impressions on such a basis that AdOrigin shall deem appropriate.


Fraudulent Activity:
AdOrigin has developed the most advanced anti-fraud system in existence. Hosts applying to join the network with the intent to generate fraudulent clicks and/or impressions should be advised that the system will detect and document all fraudulent activity. Fraud WILL result in non-payment, removal from the network, and/or additional legal action. AdOrigin reserves the right to require Hosts to provide server log files upon request. 

Automated and forced click-throughs:
Auto spawning of browsers, automatic redirecting of users, or any other technique of generating "automated" click-throughs is strictly prohibited. It is also prohibited to require users to click on the advertiser's banner before entering any area of a website, or to provide incentives in any way, shape or form to induce or require users to click on advertiser's banners. 

SPAM:
Hosts may not use unsolicited e-mail or inappropriate newsgroup postings to promote a website.
Hosts may not encourage visitors to click on the advertisers' banners in any way including e-mail,
newsgroup postings, and/or chat sites. Spammers will have their accounts terminated, forfeit their earnings, and/or additional legal action.

Right of Refusal:
AdOrigin Reserves the right to deactivate a Host's account at any time for activity or site content deemed inappropriate, based on the sole discretion of AdOrigin's staff. Any of the following conditions may result in deactivation of a Host's account. Restrictions include, but are not limited to:

Minimum of 5,000 impressions per month
Minimum CTR (Click-Through Rate) of 0.25%
Sexual content (nudity, eroticism)
Profanity
Hate speech or references
References to software piracy ('warez', 'cracking', etc.) 
References to 'hacking' or 'phreaking', etc. 
Potentially illegal MP3 files
Any illegal activity or content of any kind
Personal web pages
Non-English language web pages.
Free web pages (GeoCities, Xoom, Tripod, Talk City, etc.) 

AdOrigin constantly monitors the content of Host sites to assure compliance. 

Content Copyright:
Hosts guarantee that all content on their site is legal to distribute and that they own or have the
legal right to use any and all copyrighted material. 

Indemnification:
Hosts agree to indemnify and hold AdOrigin Corp. harmless from and against any and all claims, demands, liabilities, expenses, losses, damages or attorney fees arising from any and all claims and lawsuits for libel, slander, copyright, and trademark violation as well as all other claims resulting from a Host's or advertiser's web pages. 

Modifications:
AdOrigin Corp. reserves the right to change the Host terms and conditions at any time. 
Hosts are responsible for complying with any new rules posted here within 10 days of the date changes are posted. Hosts should contact webmaster@adorigin.com with questions about the interpretation of any terms set forth in this agreement. For special circumstances, modifications to these rules may be made if approved via e-mail from an authorized AdOrigin representative. Modification requests should be directed to webmaster@adorigin.com. 

ALL HOSTS MUST COMPLY COMPLETELY WITH ALL THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. ADORIGIN CORP. RESERVES THE RIGHT TO WITHHOLD PAYMENT FROM ANY HOST THAT VIOLATES ANY OF THESE TERMS. 

If any provision of this Agreement, or the application thereof to any Person or circumstance, shall be held invalid or unenforceable under any applicable law, such invalidity or unenforceability shall not affect any other provision of this Agreement that can be given effect without the invalid or unenforceable provision, or the application of such provision to other Persons or circumstances, and, to this end, the provisions hereof are severability. 

At all times this agreement is in force and after its expiration or termination, Adorigin.com users agree to refrain from disclosing trade secrets, or other confidential material. All users agree to take reasonable security measures to prevent accidental disclosure of AdOrigin.com confidential information. The effective date of this Agreement is the day on which participant creates an account in the AdOrigin.com program.
